Negotiating Equity Package - Series C SaaS

what's up squad?

Just received an offer for an upper mid market/enterprise ae role at a saas company that recently raised their series c at a $1billion valuation - looking to get some insight as to whether the equity package they've offered is in line w the market. Check out the details below:

- 1000 shares, strike price $9, FMV $22
- percentage of ownership (.000019)

My initial thought was this was pretty low, but I'm curious what are y'all seeing at companies at a similar stage?

I mean- yeah. It’s definitely low, but around what I’d expect at a series C. Unfortunately, you either have to be a executive at that stage to get a decent chunk, or come in at A or B.
Have you negotiated your salary yet? Would never hurt to ask for some more equity!
I started at a new company around 6months ago and negotiating more equity was easy peasy - they viewed it as me planning to be there for the long haul.

Correct, this is in line with what I'd expect. Definitely ask for more (can't hurt) but don't get too hung up on it if everything else at the company is great.

With that valuation, it’s prime to be acquired or go public in a year or so. There is definitely going to be a heavy weighting on cash compensation here, so as long as that is on line, treat this as a nice bonus.

What employee # are you?

Have you had the opportunity to talk with others in your same role? If so, what did they get/what DO they get?

Is there the ability for further grants, etc.?

Who determined the FMV? 

Does the company have a CFO who has actually taken a company public before?

I got an offer similar to this.  1500 shares @ $7 strike price.  Been working here for more than a year and I've been promoted which has led to a higher base, comps, shares, and title change.  Don't get too focused on the initial offer but I will definitely look out for the merit/bi-annual reviews and compensation increases.  IMO, this is where you have a ton of leverage once they've seen you're a proven performer.
