so im at that stage of the MSA negotiation where there are only a few small things left to agree on, and the layers want to have a meeting instead of more redlines.


i love when we can do this since it always moves faster.


So i have my one legal contact and the prospect has their legal person and 4 other ppl on the call.


I really cant do anything on this call since its all about agreeing on legal language.


and what does my legal person do?


fucking, no shows.


no heads up,


no message,


just doesnt show up.


when I messaged her after she just says "so sorry can we find time tomorrow?"

To the lawyer: let her know you made an excuse so youโ€™re covered. Get the meeting scheduled. Then find out what happened (maybe it really was an emergency) and either let it go, or take it to your manager for help so it doesnโ€™t happen again.

i wanted to talk about the terms we were redlining but their lawyer said she would not talk about them without our lawyer present......so that was annoying.
but i did hold the meeting and try to make progress. just....no REAL progress was made.

im working on that actually. At least a cover page of like "just a heads up! dont ask us for XYZ we will shoot it down!"

What i have seen in the last few months are issues with limitations of liability, what state the contract will be governed by, and Indemnification.

Good plan, I'm always a fan of laying out hard-line positions at the start to avoid entrenchment later. I try to include some generic stuff in the T&Cs of my quotes so it is all there in writing from the get-go.

This also speaks to openness during the discovery and quoting phase. I've ended up in projects where we look back and realized we should have charged more due to the higher-than-expected complexity or demands. When you try to adjust for the next round the customer is always taken aback by the price jump.

The only saving grace for me was that there were 2 topics i needed to talk through with the committee that were not legal related that we ironed out. so it was not a complete fail/waste of time but forsure NOT the main point of the call haha

Negative Ghost Rider. Incredibly unprofessional unless there was an underlying reason for not attending. Even if that was the case... communication and coordination are key. When you do speak to your legal resource... immediately set the expectation that they HAVE TO COORDINATE to prevent these types of situations. No-shows are deal killers.
